Terms and Conditions of Service

1. General Terms

These Terms and Conditions of Service ("Terms") govern the relationship between Luxnetica and its clients for all technology services provided, including but not limited to website development, software development, mobile applications, IT consulting, technical support, and digital marketing services.

Acceptance of Terms

By engaging Luxnetica's services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Service Description

Luxnetica provides comprehensive technology solutions tailored to meet the specific needs of each client. Our services include:

Development Services

  • Custom website development
  • Software application development
  • Mobile application development (iOS/Android)
  • E-commerce platform development
  • API development and integration

Consulting & Support

  • IT consulting and strategy
  • Technical support and maintenance
  • Digital marketing solutions
  • System optimization and upgrades
  • Security audits and implementation

3. Pricing and Payment

Custom Project-Based Pricing

  • All pricing is determined based on individual project requirements and complexity
  • Detailed quotes provided after initial consultation and project assessment
  • Payment terms negotiated and agreed upon in project contracts
  • Pricing includes all agreed deliverables, revisions, and support periods
  • Custom maintenance packages available based on specific needs

Payment Terms

  • 50% deposit required before project commencement
  • Remaining balance due upon project completion
  • Hourly projects billed monthly with 15-day payment terms
  • Late payments subject to 1.5% monthly interest
  • All prices exclude applicable taxes (IVA)

4. Project Timeline and Delivery

Delivery Commitments

  • We strive to meet all agreed-upon deadlines
  • Delays due to client feedback or changes may extend timelines
  • Major project milestones will be communicated in advance
  • Final delivery includes source code and documentation

Client Responsibilities

  • Provide timely feedback and approvals
  • Supply necessary content, assets, and access
  • Communicate changes or requirements promptly
  • Ensure third-party service access when required

5. Intellectual Property

Ownership of Deliverables

Upon full payment, the client receives full ownership rights to the final deliverables, including source code, designs, and documentation. Luxnetica retains the right to use anonymized project information for portfolio purposes.

Third-Party Components

Third-party libraries, frameworks, or components used in the project remain subject to their respective licenses. The client is responsible for complying with these licenses.

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information, trade secrets, and sensitive data shared during the course of the project.

This obligation continues indefinitely after project completion and extends to employees, contractors, and subcontractors.

7. Warranties and Limitations

Service Warranty

  • 30-day warranty on all development work
  • Bug fixes and minor adjustments included
  • Major feature changes subject to additional charges
  • Warranty covers functional defects, not design changes

Limitations of Liability

Luxnetica's liability is limited to the amount paid for the specific service. We are not liable for indirect damages, lost profits, or consequential losses.

8. Termination

Termination by Client

Clients may terminate services with 30 days written notice. Work completed up to termination will be billed at the agreed rate.

Termination by Luxnetica

We reserve the right to terminate services if the client fails to meet payment obligations or breaches these Terms. All outstanding amounts become immediately due.

9. Dispute Resolution

Any disputes arising from these Terms shall be resolved through:

  1. Direct negotiation between the parties
  2. Mediation through a neutral third party
  3. Spanish courts as the final jurisdiction

All disputes shall be governed by Spanish law in accordance with Royal Legislative Decree 1/2007.

10. Data Protection

Luxnetica complies with Regulation (EU) 2016/679 (GDPR) and Spanish data protection laws. Client data is processed solely for service delivery purposes and is protected using industry-standard security measures.

11. Amendments

Luxnetica reserves the right to modify these Terms with 30 days notice to clients. Continued use of our services after such modifications constitutes acceptance of the updated Terms.
